Terms & Conditions (GoAccel)

These Terms & Conditions (“Terms”) govern your access to and use of GoAccel websites, software, and services (collectively, the “Services”). By using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent you have authority to bind that organization.
1) Accounts and Eligibility
You must provide accurate information when creating an account and keep it current. You are responsible for safeguarding your credentials and for all activity under your account.
2) Subscriptions, Fees, and Payments
Certain Services require payment. Pricing, billing frequency, and renewal terms are presented at checkout, in an order form, or in the Service interface.
Unless otherwise stated, subscriptions may renew automatically until canceled. You can cancel per the instructions in the Services or by contacting us. Fees are non-refundable except where required by law or expressly stated in writing.
3) Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes
- Violate any law or third-party rights
- Upload malware or attempt to disrupt the Services
- Access or attempt to access data not intended for you
- Reverse engineer or attempt to extract source code except where permitted by law
- Use the Services to send unlawful, deceptive, or unsolicited communications (spam)
We may suspend or terminate access for violations.
4) Messaging, Email, and Marketing Compliance (TCPA, CAN-SPAM, A2P)
The Services may allow you to send or facilitate communications such as SMS/text messages, emails, calls, reminders, or other outbound communications (“Messaging”). You are solely responsible for ensuring your use of Messaging complies with all applicable laws, regulations, and industry standards, including (without limitation):
- The Telephone Consumer Protection Act (TCPA) and related FCC rules
- CAN-SPAM and similar email marketing laws
- State privacy, marketing, and consumer protection laws
- Carrier and ecosystem policies including A2P 10DLC, CTIA guidelines, and provider requirements
You represent and warrant that you will:
- Obtain and maintain all required consents and permissions (including prior express written consent where required)
- Provide required disclosures and a clear opt-out mechanism where required
- Honor opt-out requests (e.g., STOP, unsubscribe) promptly and maintain suppression lists
- Contact recipients only when legally permitted and only for lawful purposes
- Ensure messaging content is truthful, non-deceptive, and lawful
GoAccel does not provide legal advice. You are responsible for determining what consents, notices, and policies are required for your use case.
5) A2P 10DLC Registration, Sender Identity, and Carrier Enforcement
If you use SMS/MMS features, you may be required to complete A2P 10DLC registration or other carrier/provider registration and use approved sender identities (e.g., toll-free numbers, short codes, or registered long codes), depending on message type, content, and volume.
You acknowledge carriers/providers may filter, block, throttle, or limit delivery and may require content/template or sending-pattern changes. GoAccel is not responsible for filtering, non-delivery, delays, or enforcement actions by carriers/providers. SMS functionality may be restricted if required registration is not completed.
6) Prohibited Messaging Use
You may not use the Services for Messaging that:
- Violates law or third-party rights
- Includes harassment, hate, threats, or unlawful discrimination
- Promotes illegal goods/services or engages in fraud
- Uses purchased/scraped/third-party lists without valid consent
- Attempts to bypass opt-outs, suppression lists, carrier controls, or policy enforcement
- Spoofs sender identity or misrepresents the origin of messages
GoAccel may suspend or terminate Messaging features (or your account) immediately for suspected violations.
7) Messaging Data, Logs, and Compliance Requests
To operate Messaging features and comply with legal/provider requirements, GoAccel may maintain records such as sending metadata, delivery outcomes, opt-out events, and related technical logs. You agree we may use and disclose these records to investigate abuse, comply with lawful requests, support provider compliance reviews, and enforce these Terms.
You agree to reasonably cooperate with compliance inquiries, including providing evidence of recipient consent when requested.
8) Customer Data and Content
You retain ownership of content and data you upload or submit (“Customer Data”). You grant GoAccel a limited license to host, process, transmit, and display Customer Data only to provide, secure, and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.
You are responsible for Customer Data, including its legality, accuracy, and how it was collected and used (including required notices and consents).
9) Integrations and Third-Party Services
The Services may interoperate with third-party services. Your use of third-party services is governed by their terms and policies. GoAccel is not responsible for third-party services, availability, security, or actions.
10) Intellectual Property
GoAccel and its licensors own the Services and all related intellectual property. Except for the limited rights granted to use the Services as intended, no rights are granted to you.
11) Confidentiality
Each party may receive the other party’s confidential information. You agree to protect confidential information with reasonable care and use it only to fulfill obligations under these Terms.
12) Service Changes and Availability
We may modify, suspend, or discontinue parts of the Services. We strive for reliability but do not guarantee uninterrupted operation.
13) Termination
You may stop using the Services at any time and cancel subscriptions per the cancellation method provided. We may suspend or terminate access for violations, non-payment, or to protect the Services, users, and providers.
Upon termination, access will cease. Customer Data handling after termination may depend on plan terms and applicable retention policies.
14) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOACCEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOACCEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOACCEL’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO GOACCEL FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; some of these may not apply to you.
16) Indemnification
You agree to indemnify and hold harmless GoAccel from claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your Customer Data, your Messaging practices, or your violation of these Terms.
17) Governing Law and Disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Berkeley County, South Carolina, and you consent to personal jurisdiction and venue in those courts.
18) Changes to Terms
We may update these Terms from time to time. Continued use of the Services after an update constitutes acceptance of the revised Terms.
